Cinnex Terms of Service

Welcome to the Cinnex Pte. Ltd. ("Cinnex," "we," "us," or "our") website and software subscription services (the "Service"). Our services include the ERP System and the ERP Automation Platform powered by AI Agents, as further described below. By accessing or using our Service, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

 

1. Service Description

Cinnex provides subscription-based services offering access to and use of the following:

  • ERP System: A comprehensive suite of business management applications, including modules for Procurement, Sales, Inventory, Accounting, and more. The specific modules and customizations available to you will depend on your chosen subscription as outlined in your Subscription Agreement. 

  • ERP Automation Platform powered by AI Agents: An AI-driven platform designed to automate business processes within and around the ERP System. This platform utilizes AI Agents to streamline tasks, improve efficiency, and provide intelligent insights. Functionality may include automated data entry, intelligent reporting, predictive analytics, and other AI-powered features. Detailed features are available upon request/as outlined in your Subscription Agreement.

A client may subscribe to one or both of the services, as described above. These Terms of Service will apply to both services, but some sections may have service-specific considerations.


 

2. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a manner that does not violate these Terms or any applicable laws or regulations. You shall not:

  • Use the Service to transmit any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable material.

  • Use the Service to infringe upon the intellectual property rights of others.

  • Attempt to gain unauthorized access to the Service or its related systems or networks.

  • Interfere with or disrupt the Service or servers or networks connected to the Service.

  • Use the Service to distribute malware, viruses, or other harmful code.

  • Engage in any activity that could damage, disable, overburden, or impair the Service.

  • Use the Service for white-labeling activities.

  • Reverse engineer, decompile, or disassemble the ERP Automation Platform or any AI Agents (except to the extent permitted by applicable law).

  • Train or use the AI Agents for any purpose that violates these Terms, or any applicable laws and regulations.

 

3. Service Level Agreement (SLA)

Cinnex is committed to providing a reliable and high-quality service. Our Service Level Agreement (SLA) outlines our commitment to uptime and support response times. Please note that specific SLAs may vary based on the specific service(s) subscribed to (ERP and/or AI Automation Platform). Refer to your Subscription Agreement for specific service level commitments.

  • Uptime Guarantee:

    • ERP System: We guarantee 99.9% uptime for Core ERP Functions and Reporting Modules, excluding scheduled maintenance.

    • ERP Automation Platform: We guarantee 99.9% uptime for the AI Agent platform, excluding scheduled maintenance.

  • Service Credits: In the event that uptime falls below the guaranteed levels, you will be eligible for service credits as follows:

    • ERP System: 3% of your monthly fee for each 0.1% below 99.9% uptime.

    • ERP Automation Platform: 3% of your monthly fee for each 0.1% below 99.9% uptime.

  • Support Response Times:

    • Priority 1 (System Down): 1-hour initial response time / 4-hour resolution target.

    • Priority 2 (Feature Defect): 4-hour initial response time / 2-business day resolution target.

    • Priority 3 (Enhancement Request): 1-business day initial response.

  • Maintenance Window: Scheduled maintenance will typically occur during off-peak hours (as defined by Singapore time). We will provide reasonable advance notice of scheduled maintenance whenever possible.

 

4. Intellectual Property

  • Cinnex retains all rights, title, and interest in and to the Service (including both the ERP System and the ERP Automation Platform), including all software, technology, AI Agents, algorithms, and content made available through the Service, excluding Client Data.

  • You retain all rights, title, and interest in and to your data ("Client Data"). You are responsible for the accuracy, quality, and legality of your Client Data.

  • You grant Cinnex a non-exclusive license to use your Client Data solely for the purpose of providing the Service, including training and improving the AI Agents. Cinnex will anonymize and aggregate Client Data where possible for training purposes.

  • Cinnex may generate insights or reports based on Client Data. Cinnex retains ownership of these insights, provided that they do not reveal confidential information specific to your business.

 

5. Limitations of Liability

To the maximum extent permitted by applicable law, Cinnex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the service; (b) any conduct or content of any third party on the service; (c) any content obtained from the service; or (d) unauthorized access, use, or alteration of your transmissions or content. This limitation of liability applies to both the ERP System and the ERP Automation Platform, including any actions or recommendations made by the AI Agents. In no event shall Cinnex's aggregate liability for all claims relating to the service exceed the total amount paid by you to Cinnex during the twelve (12) months prior to the event giving rise to the liability.

 

6. Data Privacy and AI Agent Usage

  • When using the ERP Automation Platform, you acknowledge that Client Data will be processed by AI Agents. Cinnex takes commercially reasonable steps to protect the privacy and security of Client Data, including implementing data encryption and access controls.

  • You are responsible for ensuring that your use of the AI Agents and the data you input into the system complies with all applicable data privacy laws, including GDPR and PDPA.

  • Cinnex may collect and analyze anonymized and aggregated usage data to improve the performance and functionality of the AI Agents.

 

7. Termination

Cinnex may terminate your access to the Service at any time, with or without cause, upon written notice. You may terminate your subscription as outlined in your Subscription Agreement. Upon termination, your right to access and use the Service will immediately cease. Sections 4, 5, 6, and 8 shall survive termination.

 

8. Modifications to Terms of Service

Cinnex reserves the right to modify these Terms at any time. We will provide notice of changes on our website or via email. Continued use of the Service after such notice constitutes acceptance of the modified terms. It is your responsibility to review these Terms periodically for any changes.
